Terms and Conditions

Please read these terms carefully before using LetLoyal. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

In these Terms:

  • "LetLoyal" means LetLoyal Technologies Private Limited, the operator of the platform.
  • "Platform" means the LetLoyal web application, APIs, QR-based loyalty system, and associated services.
  • "Merchant" means any business that registers for and uses the Platform to run a customer loyalty programme.
  • "Customer" means any individual who scans a Merchant's QR code and participates in a loyalty programme through the Platform.
  • "Waitlist" means the early-access registration form on our website at letloyal.com.
  • "Content" means any data, text, images, campaign information, or other material submitted to the Platform.
  • "Subscription" means the paid plan under which a Merchant accesses the Platform after the free trial period.

2. Acceptance of Terms

By registering for our Waitlist, creating an account, or using any part of the Platform, you confirm that:

  • You have read, understood, and agree to be bound by these Terms;
  • You are authorised to enter into a legally binding agreement on behalf of yourself or your business;
  • You consent to our collection and use of your data in accordance with our Privacy Policy.

If you do not agree to these Terms, you must not use our Platform or register for the Waitlist.

3. Services

LetLoyal provides a QR-based digital loyalty platform that enables Merchants to:

  • Create visit-based or spend-based reward campaigns;
  • Generate unique QR codes for customer interaction;
  • Track customer visits, redemptions, and campaign performance;
  • Validate customer reward redemptions via OTP;
  • Run campaigns across single or multiple locations.

We reserve the right to modify, add, or remove features of the Platform at any time. We will provide reasonable notice of material changes that affect existing Merchant functionality.

4. Eligibility and accounts

4.1 Eligibility

You must be at least 18 years of age and operating a legitimate registered business to use the Platform as a Merchant. Customers must be at least 13 years of age to participate in a loyalty programme.

4.2 Account registration

You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3 Account security

You must notify us immediately at hello@letloyal.com if you suspect any unauthorised use of your account. We are not liable for losses arising from your failure to secure your credentials.

5. Merchant obligations

As a Merchant, you agree to:

  • Honour all reward campaigns you create and not withdraw rewards that Customers have already earned;
  • Ensure your loyalty programmes are lawful in your jurisdiction, including any applicable consumer protection, prize promotion, and advertising laws;
  • Display your QR code prominently and not mislead Customers about the programme's terms;
  • Inform your Customers about data collection through the Platform in accordance with applicable privacy law (you are the Data Controller for your Customers' data);
  • Comply with all applicable laws and regulations, including anti-spam, data protection, and consumer rights legislation;
  • Not use the Platform to facilitate unlawful, deceptive, or harmful conduct.

6. Customer data and GDPR / DPDPA obligations

You acknowledge and agree that:

  • As a Merchant, you are the Data Controller for the personal data of your Customers collected through the Platform. LetLoyal acts as your Data Processor.
  • You must have a lawful basis for collecting and processing Customer data (e.g., Customer's consent, contract performance).
  • You must provide Customers with a clear and accessible privacy notice explaining what data is collected, how it is used, and their rights — at or before the point of data collection (e.g., near your QR code or on the scan page).
  • You must respond to Customer requests to access, correct, or delete their personal data. LetLoyal will assist you in fulfilling such requests upon written instruction.
  • You must not instruct LetLoyal to process Customer data in a way that would violate applicable data protection law.
  • A Data Processing Agreement (DPA) is available upon request and governs LetLoyal's processing of Customer data on your behalf.

GDPR / DPDPA reminder: If you have Customers located in the EEA, UK, or India, you must comply with the applicable data protection laws in those jurisdictions. Failure to do so is your responsibility, not LetLoyal's.

7. Acceptable use

You must not use the Platform to:

  • Engage in or facilitate fraud, including creating fake scans, manipulating point balances, or submitting fraudulent OTP redemptions;
  • Transmit spam, unsolicited commercial communications, or misleading messages;
  • Upload or transmit viruses, malware, or any code designed to disrupt or damage our systems;
  • Attempt to gain unauthorised access to the Platform or another Merchant's account;
  • Scrape, crawl, or systematically extract data from the Platform without our written consent;
  • Use the Platform in connection with any illegal activity, including unlicensed gambling, pyramid schemes, or money laundering;
  • Violate any applicable law or third-party rights.

Violation of these rules may result in immediate suspension or termination of your account and may be reported to appropriate authorities.

8. Fees and payment

Access to the Platform beyond the free trial period is subject to the fees set out in our current pricing schedule published at letloyal.com. We reserve the right to change our pricing with 30 days' notice.

  • Subscriptions are billed in advance on a monthly or annual basis.
  • All fees are non-refundable except as required by applicable consumer law or as expressly stated in these Terms.
  • Failure to pay on time may result in suspension of your account. If payment remains outstanding for 30 days, we may terminate your account and delete your data (with prior notice).
  • Prices are exclusive of applicable taxes, including GST. You are responsible for all applicable taxes.

9. Free trial

We offer a 30-day free trial of the Platform. No payment method is required to start the trial. At the end of the trial, your account will be downgraded to a read-only state unless you subscribe to a paid plan.

We reserve the right to withdraw, modify, or limit free trial access at any time and to prevent abuse of the trial offer.

10. Intellectual property

10.1 LetLoyal IP

All intellectual property rights in the Platform, including its software, design, trademarks, and documentation, belong exclusively to LetLoyal or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for the purposes set out in these Terms. You must not copy, modify, reverse-engineer, decompile, or create derivative works of the Platform.

10.2 Your Content

You retain all intellectual property rights in Content you submit to the Platform. By submitting Content, you grant LetLoyal a non-exclusive, royalty-free, worldwide licence to use, store, and process that Content solely to provide the Platform services to you.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant LetLoyal the right to use such feedback without restriction or compensation to you.

11. Confidentiality

Each party agrees to keep confidential any non-public information of the other party disclosed in connection with the use of the Platform ("Confidential Information"), and not to use it except to fulfil obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

12. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Platform will be uninterrupted, error-free, or completely secure;
  • Any particular business outcome, repeat visit rate, or revenue increase will be achieved through use of the Platform;
  • Data transmitted through the Platform will be transmitted securely in all circumstances.

We are not responsible for the actions or omissions of Customers or third-party service providers.

13. Limitation of liability

To the maximum extent permitted by applicable law:

  • LetLoyal's aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you to LetLoyal in the 12 months preceding the event giving rise to the claim, or ₹10,000 (whichever is greater).
  • LetLoyal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless LetLoyal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the Platform in violation of these Terms;
  • Your violation of any applicable law or regulation, including data protection law;
  • Any dispute between you and a Customer arising from your loyalty programme;
  • Any Content you submit that infringes third-party intellectual property rights.

15. Termination

15.1 By you

You may cancel your account at any time through your account settings or by emailing hello@letloyal.com. No refunds will be issued for the current billing period.

15.2 By LetLoyal

We may suspend or terminate your account immediately, with or without notice, if:

  • You breach these Terms and fail to remedy the breach within 7 days of written notice;
  • You engage in fraudulent activity or abuse of the Platform;
  • Continued operation of your account poses a risk to the Platform, other users, or Customers;
  • We are required to do so by law or regulatory order.

15.3 Effect of termination

Upon termination, your access to the Platform will cease and we will delete your account data in accordance with our data retention policy (see our Privacy Policy). Sections 10, 12, 13, 14, and 16 survive termination.

16. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

For users located in the European Union or United Kingdom, mandatory consumer protection laws in your country of residence may also apply and cannot be excluded by this clause.

We encourage resolution of disputes through good-faith discussion. To raise a concern, please contact us at hello@letloyal.com before initiating formal proceedings.

17. Changes to these Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes — by email to your registered address or by posting a prominent notice on the Platform.

Your continued use of the Platform after the effective date of the revised Terms constitutes acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform and cancel your account.
